00:00:00,640 --> 00:00:04,400
This is Pete Moore at Integrity Square. We are in month six

2
00:00:04,800 --> 00:00:08,360
of the sale of Project Willow. We're excited to report that we have

3
00:00:08,360 --> 00:00:12,080
picked the Ganilin Group as our potential financial buyer.

4
00:00:12,240 --> 00:00:16,080
They're going to pay a six times EBITDA and we got through our quality

5
00:00:16,080 --> 00:00:19,200
of earnings report unscathed where they have not

6
00:00:19,200 --> 00:00:22,960
questioned or changed any of our assumptions related

7
00:00:22,960 --> 00:00:26,490
to the cash flow that we are providing to the buyer

8
00:00:26,570 --> 00:00:30,330
in this deal. We just got the asset purchase agreement, which

9
00:00:30,330 --> 00:00:33,810
is the APA, which is another 50 pages of fun

10
00:00:33,810 --> 00:00:37,530
reading on your bedside any night of the week. That

11
00:00:37,530 --> 00:00:41,370
asset purchase agreement is going to be all of the assets that

12
00:00:41,370 --> 00:00:45,010
are going to be acquired by the Ganlon Group through a special purpose

13
00:00:45,010 --> 00:00:48,490
vehicle, an spv, to acquire all of our

14
00:00:48,490 --> 00:00:52,240
assets, which will include all the clubs, all, all the leases,

15
00:00:52,560 --> 00:00:56,240
all the membership agreements. And the rest of the document is

16
00:00:56,240 --> 00:01:00,000
going to talk about things that could potentially go wrong and

17
00:01:00,320 --> 00:01:03,760
what you have to represent and warrant that we provided.

18
00:01:04,160 --> 00:01:07,960
So as the owner, you are now part of what's called

19
00:01:07,960 --> 00:01:11,760
seller's knowledge. And you're also the signator

20
00:01:12,240 --> 00:01:16,080
on this transaction. This transaction will say we're going

21
00:01:16,080 --> 00:01:19,680
to buy the company for $60 million. And they have proposed

22
00:01:19,680 --> 00:01:23,480
a 5% out of that 60, which would

23
00:01:23,480 --> 00:01:27,040
be $3 million. Escrow account. Now, an

24
00:01:27,040 --> 00:01:29,760
escrow is a term from France.

25
00:01:36,720 --> 00:01:40,440
It was basically that if I bought a house but I didn't pay for it

26
00:01:40,440 --> 00:01:44,200
yet, it's basically like the deed or the title that would go into

27
00:01:44,200 --> 00:01:47,980
a bank or, or going to a legal organization that would hold

28
00:01:48,300 --> 00:01:51,980
my deed until I paid for the title to

29
00:01:51,980 --> 00:01:55,660
a property. So just like that, escrow

30
00:01:55,820 --> 00:01:59,460
has now been used in the way of saying I'm going to hold back some

31
00:01:59,460 --> 00:02:03,020
of that money. 3 million to ensure that everything you told me

32
00:02:03,100 --> 00:02:06,860
in this asset purchase agreement and all the documents are actually true.

33
00:02:06,940 --> 00:02:10,780
If not, I'm going to come back and try and first tap the escrow

34
00:02:10,780 --> 00:02:14,430
account, which is a neutral bank account that now I'm going to take

35
00:02:14,830 --> 00:02:17,630
because you might have lied to me. A little, nice

36
00:02:18,590 --> 00:02:19,870
little culture in there.
