Pete is the Founder, Managing Partner and Chief Dream Architect at Integrity Square ("ISQ"), a leading boutique financial advisory firm focused on the $4.7T Health, Active Lifestyle, Outdoor ("HALO") sector. Since founding ISQ in 2010, the firm has played an active advisory role in 100+ mergers & acquisitions, private placements and advisory assignments across North America.
Pete Moore and his team have also invested in passionate entrepreneurs at HigherDOSE, XTEND, and Promotion Vault. ISQ's media and "live education" properties include HALO Talks, the leading B2B podcast in the sector, Time To Win Again, and the HALO Academy, an Executive Education Bootcamp Series.
Prior to ISQ, Pete was Head of the Active Lifestyle & Wellness Group at Sagent Advisors (2003-2010.) Prior to 2003, Pete was co-founder of FitnessInsite, a SasS sales management platform with 1500+ clients (based in AZ.) At FitnessInsite, Pete invested his personal capital, leveraged his credit cards and learned what it takes to manage a startup.
Pete built his business and financial acumen on top of the foundation laid at three critical positions early in his career: Senior Associate at Brockway Moran & Partners, the private equity owner of Gold's Gym International, Inc; worked as an Associate at Donaldson, Lufkin & Jenrette; and an Analyst at Chase Securities. (Now JP Morgan.)
ISQ saw a need for a deeper & more useful level of education in the HALO sector. In response, we launched the HALO Talks podcast, with 500+ completed interviews and over 120,000 downloads. HALO Talks has become a "must listen" for anyone working or investing in the sector.
Pete graduated from Emory University (BBA, 1994) and received his MBA from Harvard Business School (1999.) While at HBS, he co-founded IRON PLANET, the leading B2B auction site for used heavy equipment, which was sold to Ritchie Bros for $758 million. His hobbies include: Football, basketball, tennis, podcasting, amateur ventriloquism, pro bono DJ and fitness enthusiast.
00:00:00,560 --> 00:00:04,319
This is Pete Moore at Integrity Square. We are just signed our
2
00:00:04,319 --> 00:00:08,080
engagement letter with our 20 club operator. We're gonna come up
3
00:00:08,080 --> 00:00:11,759
with a cool name, probably Project Willow on behalf
4
00:00:11,759 --> 00:00:15,495
of Taylor Swift or Project Cannonball, but we'll come
5
00:00:15,495 --> 00:00:19,015
up with some confidential name that allow us to talk about your
6
00:00:19,015 --> 00:00:22,795
business whether we're in an elevator, whether in an airport,
7
00:00:22,855 --> 00:00:26,535
or whether on a conference call. Okay. Confidentiality in
8
00:00:26,535 --> 00:00:29,980
this process is key. We will have something called a
9
00:00:29,980 --> 00:00:33,660
kickoff call. We'll do that over Zoom or we'll do that in
10
00:00:33,660 --> 00:00:37,180
person. That kickoff call is going to be a way for
11
00:00:37,180 --> 00:00:40,800
you to teach our team everything we need to know
12
00:00:40,940 --> 00:00:44,565
about your business, how your business model works, how your
13
00:00:44,565 --> 00:00:48,324
special sauce is delivered, and what you see as the
14
00:00:48,324 --> 00:00:51,844
opportunities and risks of the business. It's super
15
00:00:51,844 --> 00:00:55,605
important for any banker to actually understand your business as if
16
00:00:55,605 --> 00:00:59,010
it was their own for us to be able to champion that
17
00:00:59,010 --> 00:01:02,789
cause, pitch the business properly to potential buyers,
18
00:01:03,410 --> 00:01:07,250
understand some of the special sauce in the Kool Aid that we need
19
00:01:07,250 --> 00:01:10,950
to drink in order to really get fired up to sell a company.
20
00:01:11,315 --> 00:01:15,095
So that kickoff call is basically you educating the banker
21
00:01:15,235 --> 00:01:18,835
on on your company, all the things we need to know, the good, the
22
00:01:18,835 --> 00:01:22,675
bad, and the ugly, and then we will issue you what's called a
23
00:01:22,675 --> 00:01:26,229
due diligence request smart sheet. This is
24
00:01:26,229 --> 00:01:29,830
basically the start of your proctology exam. We are going to
25
00:01:29,830 --> 00:01:33,590
learn everything about your business and we're gonna try and figure out what
26
00:01:33,590 --> 00:01:37,155
a potential buyer is going to have issue with
27
00:01:37,315 --> 00:01:40,994
and try and get ahead of it. Getting ahead of issues in any sale
28
00:01:40,994 --> 00:01:44,755
process is basically the difference between success and
29
00:01:44,755 --> 00:01:48,595
failure. So once we have that diligence list, we start to
30
00:01:48,595 --> 00:01:51,960
put together our confidential information memo, which is our
31
00:01:51,960 --> 00:01:55,659
SIM, which is 40 pages in PowerPoint, and our workbook,
32
00:01:55,960 --> 00:01:59,720
which is going to adjust your financials the best we can and help you
33
00:01:59,720 --> 00:02:03,399
build out projections. That is the stage we're at right now. Keep coming
34
00:02:03,399 --> 00:02:04,299
back for more.
